Terms of Service

1. Acceptance of Terms

By accessing or using the QueueFly platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.

2. Description of Service

QueueFly provides a cloud-based notification delivery infrastructure built on top of Firebase Cloud Messaging (FCM), including device token management, push notification queuing, scheduling, topic broadcasting, and related developer tooling via REST API. The Service is intended for use by businesses and developers integrating notification delivery into their own products, and is not marketed as a consumer product.

3. Account Registration

You must provide accurate, complete, and current information when creating an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials and API keys (ClientId, TenantId, ApiKey).
  • All activity that occurs under your account, whether or not authorised.
  • Notifying us immediately at support@queuefly.com of any unauthorised use or security breach.

You must be at least 18 years old, or the age of majority in your jurisdiction, and have legal capacity to enter into binding contracts to use the Service.

4. Acceptable Use

You agree not to use the Service to:

  • Send unsolicited notifications (spam) or messages to recipients who have not lawfully consented to receive them.
  • Transmit illegal, harmful, threatening, abusive, defamatory, or fraudulent content.
  • Violate any applicable law or regulation, including data protection laws such as the GDPR and CCPA/CPRA.
  • Interfere with, disrupt, probe, scan, or reverse-engineer the Service or its underlying infrastructure.
  • Circumvent usage limits, rate limits, or billing through technical means.
  • Use the Service to transmit malware or engage in phishing.

As between you and QueueFly, you are solely responsible for the content of the notifications you send and for obtaining any consents required from your end users under applicable law before sending them notifications through the Service.

5. Subscription Plans & Payment

QueueFly offers tiered subscription plans (Free trial, Premium, Pro, Enterprise). Plan details, device limits, and pricing are described on the Pricing page and may change with at least 30 days' notice to existing subscribers.

  • Fees are billed in advance on a monthly or annual basis, in the currency shown at checkout.
  • Payments are processed by our third-party payment processor, Stripe; by subscribing you also agree to Stripe's applicable terms.
  • All fees are non-refundable except as required by applicable law or as expressly stated in these Terms.
  • Failed or overdue payments may result in service suspension after reasonable prior notice.
  • Prices are exclusive of applicable taxes (e.g. VAT, sales tax), which will be added where required by law.

6. Free Trial

Free trials provide full feature access for 30 days, subject to device limits. At the end of the trial, you must subscribe to a paid plan to continue using the Service. Trial accounts inactive for 90 days may be deleted without further notice.

7. Intellectual Property

QueueFly retains all right, title, and interest in and to the Service, its documentation, and associated software, including all related intellectual property rights. These Terms do not grant you any rights to our trademarks, logos, or proprietary technology except as necessary to use the Service as intended.

You retain ownership of your data and content processed through the Service. You grant QueueFly a limited licence to process that data solely to provide the Service to you, in accordance with our Privacy Policy.

8. Data, Privacy & Sub-processors

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and safeguard personal data, and confirms that we do not use cookies and do not sell or share personal data with third parties. By using the Service, you acknowledge that Privacy Policy.

To operate the Service we rely on a small number of infrastructure sub-processors, currently Railway (hosting), Firebase Cloud Messaging (notification delivery), and Stripe (payment processing). We remain responsible for data processed by these sub-processors in accordance with our agreements with them.

Where you submit personal data of your own end users (e.g. device tokens) through the Service, you act as the data controller for that data and QueueFly acts as your data processor. You are responsible for ensuring you have the necessary legal basis, rights, and consents to have that data processed through the Service.

9. Service Level & Uptime

We aim to provide a highly available Notification API, targeting 99.9% monthly uptime as a best-efforts goal rather than a guaranteed commitment. Scheduled maintenance windows communicated in advance, and outages caused by third-party providers (e.g. Firebase Cloud Messaging, Railway) or events beyond our reasonable control, are excluded from this target. This target does not currently carry associated service credits; if we introduce a formal Service Level Agreement with credits for paid plans, it will be published separately and referenced here.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUEUEFLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death, personal injury, fraud, or gross negligence, or any liability that is non-excludable under mandatory EU consumer or data protection law.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS, OR THAT NOTIFICATIONS WILL BE DELIVERED WITHOUT DELAY OR FAILURE, GIVEN OUR RELIANCE ON THIRD-PARTY PUSH NOTIFICATION NETWORKS (E.G. FIREBASE CLOUD MESSAGING) OUTSIDE OUR CONTROL.

12. Indemnification

You agree to indemnify and hold QueueFly harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or your violation of any applicable law or third-party right, including the rights of your end users.

13. Termination

Either party may terminate the agreement:

  • You may cancel your account at any time via the dashboard, effective at the end of the current billing period.
  • We may suspend or terminate your account for breach of these Terms, with notice proportionate to the severity of the breach; we may act without prior notice in cases of serious or repeated violations, security risk, or legal requirement.

On termination, your right to use the Service ceases immediately. We will retain your data for 30 days post-termination to allow for export or reactivation, after which it will be deleted in accordance with our Privacy Policy.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of Portugal, without regard to its conflict of law principles, without prejudice to any mandatory consumer protection or data protection provisions that apply in your country of residence if you qualify as a consumer.

Any dispute arising out of or in connection with these Terms shall first be addressed through good-faith negotiation between the parties. If unresolved, the courts of Lisbon, Portugal shall have exclusive jurisdiction, except where mandatory law grants you the right to bring proceedings in your own country of residence within the EU.

15. Miscellaneous

  • Force majeure: Neither party is liable for delays or failures caused by events beyond its reasonable control, including outages of third-party providers such as Railway, Google/Firebase, or Stripe.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
  • Entire agreement: These Terms, together with our Privacy Policy and any applicable order form or SLA, constitute the entire agreement between you and QueueFly regarding the Service.
  • No waiver: Our failure to enforce any provision shall not be deemed a waiver of that or any other provision.

16. Changes to Terms

We may update these Terms from time to time. We will provide at least 30 days' notice of material changes by posting a notice on our website and, where practical, emailing registered users. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
